1. OFFER ELIGIBILITY:
a. The Canon® Copier Campaign Offer (the “Offer”) is open to Eligible Small Businesses (as defined herein) in Canada.
b. An Eligible Small Business is defined as a sole proprietorship, partnership or corporation doing business in Canada with under fifty (50) employees (an “Eligible Small Business”).
b. Eligibility to participate in the Offer is subject to verification at any time for any reason. Canon Canada Inc. (“Canon”) reserves the right, in its sole and absolute discretion, to require proof of eligibility (in a form acceptable to Canon): (i) for the purposes of verifying the eligibility of any small business to participate in this Offer; (ii) for the purposes of verifying the eligibility and/or legitimacy of any information entered for the purposes of this Offer; and/or (iii) for any other reason Canon deems necessary, in its sole and absolute discretion, for the purposes of administering this Offer in accordance with the letter and spirit of these Official Offer Terms and Conditions (the “Terms”). Failure to provide such proof to the complete satisfaction of Canon within the time frame specified by Canon may result in disqualification in the sole and absolute discretion of Canon. The sole determinant of time for the purposes of this Offer will be Canon’s Official Clock(s).

c. Dealers, distributors or other resellers are not eligible for this Offer. Offer valid in Canada only.

2. AGREEMENT TO BE LEGALLY BOUND BY TERMS:
a. By participating in this Offer, you are signifying your agreement that you have read and agree to be legally bound by these Terms.

3. OFFER PERIOD:
a. The Offer begins on January 1, 2025 at 12:00:00 a.m. Eastern Time (“ET”) and ends on April 30, 2025 at 11:59:59 p.m. ET (the “Offer Period”).
b. Canon reserves the right, in its sole and absolute discretion, to adjust any of the dates, timeframes and/or other Offer mechanics stipulated in these Terms, to the extent necessary, for purposes of verifying any Small Business (as defined herein), Qualifying Transaction (as defined herein), Qualifying Product (as defined herein), and/or other information with these Terms, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of Canon, in its sole and absolute discretion, affect the proper administration of the Offer as contemplated in these Terms, or for any other reason.

4. QUALIFYING PRODUCT AND LEASE:
a. For the purposes of this Offer, an Eligible Small Business must lease from Canon’s leasing partner, CBSC Capital Inc. a qualifying Canon® imageRUNNER, imagePRESS or VarioPRINT series of copier as set out in Schedule A (each, a “Qualifying Product”) from Canon (each, a “Qualifying Transaction”). This Offer is only available on Qualifying Product hardware.

5. HOW TO PARTICIPATE:
a. In accordance with these Terms during the Offer Period, an Eligible Small Business will be eligible to receive one (1) reward (a “Reward”), as further set out below, subject to compliance with these Terms.

Eligible Small Businesses can receive 40% off MSRP on their lease plus a Canon Camera. The Eligible Small Business receives 40% off MSRP of a Qualifying Product and receives one (1) Canon EOS R100 camera w/RF-S18-45MM F4.5-6.3 IS STM KIT ($799.99 MSRP) to support their in-house marketing activities, on the replacement of a competitive brand of product. This Reward is available to an Eligible Small Business that leases a Qualifying Product from Canon’s leasing partner, CBSC Capital Inc. (or a third party leasing company upon approval of Canon). This Reward only applies to the lease of new Qualifying Product. Reward provided by CBSC Capital Inc. on approved credit on new sales of Qualifying Product. Leasing term must be for 60 or 66 months. Minimum requirements before performing a credit check include: (i) must have a legal business name; (ii) the business must have been registered and have an office in the same province; (iii) must have been in business for a minimum for 2 years in good standing; and (iv) the business must be active in the last two years. Other restrictions and conditions apply. There is a limit of one (1) camera per Eligible Small Business. Other restrictions and conditions apply. Speak to a Canon Sales Representative for pricing and terms and conditions.

b. There is a limit of one (1) Reward per Eligible Small Business.
c. Rewards must be accepted as awarded and are not transferable, assignable or convertible to cash (except as may be specifically permitted by Canon in its sole and absolute discretion). No substitutions except at Canon’s option. Canon reserves the right, in its sole and absolute discretion, to substitute any Reward with a reward of equal or greater retail value, including, without limitation, but at Canon’s sole and absolute discretion, a cash award.
d. If it is discovered by Canon (using any evidence or other information made available to or otherwise discovered by Canon) that any Eligible Small Business has attempted to: (i) earn more than one (1) Reward in relation to the same Qualifying Product; and/or (ii) use any automated, macro, script, robotic or any other system(s), Offer(s) and/or means to participate in or disrupt this Offer; then it may, in the sole and absolute discretion of Canon, result in disqualification from the Offer.

6. RELEASE OF LIABILITY
a. By participating in this Offer, each Eligible Small Business hereby: (i) confirms compliance with these Terms; and (ii) releases Canon, its associated companies (including CBSC Capital Inc.), affiliates, suppliers, advertising/promotion agencies, and any other entity or entities involved in the development, production, administration or fulfillment of the Offer, and each of their respective agents, employees, directors, successors, and assigns (collectively, the “Released Parties”) from any and all liability in connection with this Offer and its participation therein – including, but not limited to, the awarding and use/misuse of the Reward or any portion thereof.

7. GENERAL CONDITIONS:
a. All submitted materials become the property of Canon. This Offer is subject to all applicable federal, provincial and municipal laws. The decisions of Canon with respect to all aspects of this Offer are final and binding on all entrants without right of appeal. ANYONE DETERMINED TO BE IN VIOLATION OF THE LETTER AND/OR SPIRIT OF THESE TERMS FOR ANY REASON IS SUBJECT TO DISQUALIFICATION IN THE SOLE AND ABSOLUTE DISCRETION OF CANON AT ANY TIME.
b. The Released Parties will not be liable for: (i) any failure of the Canon Website or any other site during the Offer; (ii) any malfunctions or other problems of any nature whatsoever, including, without limitation, those relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; (iii) the failure of any information to be received, captured or recorded for any reason whatsoever, including, but not limited to, technical problems or traffic congestion on the internet or at any website; (iv) any injury or damage to an Eligible Small Business’s or any other person’s computer or other device related to or resulting from participating in the Offer; and/or (v) any combination of the above.
c. Canon reserves the right, in its sole and absolute discretion, to amend or suspend this Offer (or to amend these Terms) in any way, in the event of any cause beyond the reasonable control of Canon that interferes with the proper conduct of this Offer as contemplated by these Terms, including, without limitation, any error, problem, computer virus, bug, tampering, unauthorized intervention, fraud or failure. Any attempt to undermine the legitimate operation of this Offer in any way (as determined by Canon in its sole and absolute discretion) may be a violation of criminal and civil laws and should such an attempt be made, Canon reserves the right to seek remedies and damages to the fullest extent permitted by law. Canon reserves the right, in its sole and absolute discretion, to cancel, amend or suspend this Offer, or to amend these Terms, in any way without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any other reason whatsoever.
d. By participating in this Offer, each Eligible Small Business expressly consents to Canon, its agents and/or representatives, storing, sharing and using any personal and other information submitted only for the purpose of administering the Offer and in accordance with Canon’s privacy policy (available at: https://www.canon.ca/en/privacy). This section does not limit any other consent(s) that an individual may provide Canon or others in relation to the collection, use and/or disclosure of their personal information.
e. In the event of any discrepancy or inconsistency between the terms and conditions of these English Terms and disclosures or other statements contained in any Offer-related materials, including, but not limited to: the Canon Website, French version of these Terms, point of sale, television, print or online advertising, any instructions or interpretations of these Terms given by an employee or other representative of Canon; the terms and conditions of these English Terms shall prevail, govern and control to the fullest extent permitted by law.
f. All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms or the rights and obligations of participants, Canon or any of the other the Released Parties in connection with the Offer will be governed by and construed in accordance with the domestic laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction’s laws. The parties hereby consent to exclusive jurisdiction and venue of the courts located in Ontario in any action to enforce (or otherwise relating to) these Terms or relating to this Offer.
g. The invalidity or unenforceability of any provision of these Terms shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Terms shall otherwise remain in effect and shall be construed in accordance with the terms as if the invalid or illegal provision were not contained herein. CANON is a registered trademark of Canon Inc. and is used under license.
